Consent to obtain API facility based on its Terms & Conditions provided to me/us.

I/We, client of Motilal Oswal Financial Services Ltd. (MOFSL) am/are hereby desirous of availing Application programming interface (API) facility for placing and executing of orders in my / our account. For this I/We hereby provide my/our consent to avail API facility and also agree on below mentioned terms -

• I/We am/are aware that MOFSL provides API facility which will be connected to a Third party vendor / service providers who will push manual orders for execution in bulk into my trading account. I understand that MOFSL is merely providing a service for my / our benefit.
• I/We am/are aware that the APIs are not meant for placing fully automating trades (without manual intervention).
• I/We agree that this API facility is selected by me/us.
• I/We am/are aware that there might be losses in my / our account due to orders generated from the said API mechanism.
• I/We agree that in case of any losses occurred to me /us, MOFSL will not be held liable for the same as investment / trading decision(s) are made by me / us.
• I/We agree that in case of any uncertainties, I/we shall contact the actual service providers i.e. Third Party Vendor.
• I/We am/are aware that this facility will run on basis of my/our requirements
• I/We understand that the API response and account access times may vary due to a variety of factors, including, but not limited to, trading volumes, market conditions, system performance, technical and other factors. Market volatility, volume and system availability may delay account access and trade executions. The uptime and availability of the APIs may be affected by technical or other factors within or outside MOFSL's control, or unforeseen circumstances including natural disasters.
• I/We agree and understand that MOFSL does not make any promises, commitments, guarantees about the APIs or related offerings.
• I/We agree and understand that MOFSL, will not be responsible for lost profits, revenues, or data; financial losses; or indirect, special, consequential, exemplary, or punitive damages. In all cases, MOFSL will not be held liable for expense, loss or damage that is not reasonably foreseeable.
• I/We agree to indemnify and hold MOFSL, its Third party vendor / service providers, syndicators, distributors, licensors, officers, directors and employees, against all liabilities, damages, losses, costs, fees (including legal fees) and expenses relating to any allegation or third – party legal proceeding to the extent arising from:
A. Technical faults or the limitations of the APIs.
B. My/our misuse or your end user's misuse of the APIs.
C. My/our violation or your end user's violation of the Terms.
